Data Processing Agreement

This Data Processing Agreement ("DPA") supplements the agreement between Silverspark.ai ("Processor") and the Client ("Controller") regarding data protection responsibilities.

​1. Scope
This DPA applies when Silverspark.ai processes personal data on behalf of the Client during the delivery of licensed products or tailored solutions.

2. Data Processing and Purpose
Silverspark.ai shall only process data as necessary to deliver agreed services and in accordance with documented instructions provided by the Client.

3. Confidentiality and Security
All personnel with access to personal data shall be bound by confidentiality obligations. We implement technical and organizational measures to ensure data security.

4. Sub-processors
Silverspark.ai may use sub-processors (e.g. cloud infrastructure providers) with appropriate safeguards. A list of current sub-processors is available upon request.

5. Data Subject Rights
We assist the Client in fulfilling obligations to respond to data subject access requests, corrections, and deletions.

6. Data Retention and Deletion
Upon termination of services, data will be deleted or returned at the Client’s request, unless retention is required by law.

7. Ownership and Deliverables
silverspark.ai retains full ownership over the Senpai platform. For tailored solutions, ownership of custom deliverables may be shared or transferred based on mutual agreement outlined in a separate contract.

8. Audit and Compliance
silverspark.ai agrees to provide necessary information and access to demonstrate compliance with this DPA.

9. Governing Law

This DPA is governed by the same laws specified in the primary agreement.
